You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
If you use ScriptPay to process payments or related services, you acknowledge that:
We may partner with third-party payment processors, banks, or verification providers.
Fees, settlement times, and limits may vary by account, risk level, and jurisdiction.
We are not liable for delays or losses resulting from errors by third-party payment networks, financial institutions, or system outages.
All fees and charges are provided at the time of onboarding or within your service agreement, where applicable.
All content, trademarks, service marks, trade names, logos, software, and other materials on the Site or within the Services are owned or licensed by ScriptPay and protected under applicable copyright, trademark, and intellectual property laws.
You may not copy, modify, distribute, or reproduce any materials from our Site or Services without our prior written consent.
Our Services may link to or integrate with third-party platforms (e.g., payment processors, verification tools, or analytics providers). We are not responsible for the content, actions, or policies of third-party sites or services. Use of those services is at your own risk and subject to their respective terms and privacy policies.
To the maximum extent permitted by law:
ScriptPay and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the Services.
Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid (if any) to ScriptPay in the 12 months preceding the claim.
The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
We make no guarantees that the Services will be uninterrupted, error-free, or secure.
You agree to indemnify, defend, and hold harmless ScriptPay and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, violation of these Terms, or violation of any rights of another person or entity.
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct harmful to ScriptPay or others.Upon termination, your right to use the Services will immediately cease, but any obligations incurred before termination shall survive (including payment obligations and indemnities).
These Terms are governed by and construed in accordance with the laws of the State of California and the laws of the United States applicable therein, without regard to conflict of law principles.
You agree to submit to the exclusive jurisdiction of the courts located in California for any disputes arising under or in connection with these Terms.
We may update or modify these Terms from time to time. Any changes will be effective immediately upon posting on our Site unless otherwise stated. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
